If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

3. Account Registration and Security

6. Subscription and Payment

6.1 Plans and Pricing

  • Subscription fees are billed in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as expressly stated in these Terms or required by law.

6.3 Free Trials

We may offer free trials at our discretion. We reserve the right to limit or terminate free trials at any time. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • 17South Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, goodwill, or other intangible losses, arising from your use of or inability to use the Service.
  • Our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).
  • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless 17South Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your Data or any content you submit through the Service
  • Any misrepresentation made by you

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings within the Service. Upon termination, your right to use the Service will cease immediately.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Breach of these Terms
  • Non-payment of fees
  • Conduct that we determine, in our sole discretion, is harmful to other users or the Service
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

13.3 Effect of Termination

Upon termination, your licence to use the Service terminates immediately. We may delete Your Data after a reasonable retention period following termination. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will continue to apply.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising from or related to these Terms or the Service.

14.3 Informal Resolution

Before filing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@wiiva.net. We will attempt to resolve the dispute within thirty (30) days.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and 17South Ltd regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, strikes, government actions, or internet disruptions.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
  • Headings: Section headings are for convenience only and have no legal effect.
